Effective Date: 7 September 2026
These Terms & Conditions (“Terms”) govern the purchase and use of products and services offered by Ever Digital for General Trading and Computer Programs Ltd. (“Ever Digital”, “we”, “us”, or “our”) through www.ever-digital.com, including Odoo implementation packages, consulting, software, SaaS products, support, hosting, custom development, and other digital services.
By placing an order, creating an account, accepting a quotation, or using our services, you agree to these Terms together with any applicable product description, quotation, statement of work, Privacy Policy, Refund & Cancellation Policy, or product-specific terms.
If you are purchasing on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf.

Ever Digital provides ERP implementation, business software, SaaS products, automation, consulting, custom digital solutions, and related technology services to customers in Iraq and internationally.
2. Odoo Starter Implementation Packages
Ever Digital offers standardized, fixed-price Odoo implementation packages that allow customers with standard requirements to purchase implementation services online without requiring a custom quotation before ordering.
Our standard packages currently include:

The applicable price is the price displayed on the relevant product page at the time the order is placed.
3. What Is an Odoo Setup Pack?
An Odoo Setup Pack represents a defined functional area of the customer’s implementation.
Available Setup Packs may include:
Sales & CRM Setup
CRM, Sales, Quotations, Customer Management and Invoicing.
Accounting Setup
Accounting, Invoicing, Expenses and standard financial configuration.
Inventory & Purchase Setup
Inventory, Purchase, Barcode and standard warehouse and purchasing workflows.
Point of Sale Setup
Point of Sale, products, payment methods, users and standard POS configuration.
HR Setup
Employees, Attendance and Time Off.
Projects Setup
Projects, Tasks and Timesheets.
Field Service Setup
Field Service, Projects, Tasks and Timesheets.
Website Setup
Odoo Website, standard pages, menus and forms.
eCommerce Setup
Website, eCommerce, online product catalog and standard ordering flow.
Manufacturing Setup
Manufacturing, Bills of Materials and standard Work Orders.
The detailed scope of each Setup Pack may be updated from time to time as Odoo applications and functionality change.
4. Selection of Setup Packs
Customers are not required to select their final Setup Packs during checkout unless the website specifically provides that functionality.
After the order is confirmed, Ever Digital will contact the customer during onboarding to confirm which Setup Packs will be implemented.
The number of Setup Packs selected may not exceed the limit of the purchased package.
For example:
Odoo Starter Small includes up to 4 Setup Packs.
A customer may therefore choose, for example:
- Sales & CRM Setup
- Accounting Setup
- Inventory & Purchase Setup
- HR Setup
Once the implementation scope is confirmed, changes may be subject to available implementation hours and Ever Digital’s approval.
5. Standard Implementation Scope
Odoo Starter packages are intended for standard Odoo implementation requirements.
The implementation may include, within the purchased package limits:
- Requirements confirmation
- Odoo database setup
- Application configuration
- Company configuration
- User creation
- User roles and access rights
- Standard Odoo workflows
- Basic configuration of selected Setup Packs
- Basic master-data import assistance
- Testing assistance
- User Acceptance Testing assistance
- User training
- Go-live preparation
- Go-live assistance
All work remains subject to the implementation-hour allowance included in the purchased package.
6. Implementation Hours
Each package includes a maximum number of Ever Digital professional-service hours.
Implementation hours may be used for activities including:
- Requirements meetings
- Configuration
- Data-import assistance
- Testing
- Troubleshooting
- Training
- Project management
- Customer meetings
- UAT assistance
- Go-live preparation
- Go-live support
Time spent working on a customer’s implementation counts toward the package’s included hours regardless of whether that work occurs during meetings or independently by the implementation team.
Unused implementation hours have no cash value unless expressly agreed otherwise.
7. Package Limits
The purchased package is limited by all applicable package limits, including:
- Number of users
- Number of Setup Packs
- Included implementation hours
- Standard configuration scope
A customer’s requirements must fit reasonably within all applicable limits.
Selecting fewer Setup Packs does not increase the included hours or users unless Ever Digital agrees otherwise.
Similarly, unused users do not convert into additional Setup Packs or additional implementation hours.
8. Requirements Exceeding the Package
If Ever Digital determines that the customer’s requirements exceed the purchased package, we may recommend:
- Upgrading to a larger package
- Purchasing additional implementation hours
- Purchasing additional services
- Receiving a separate quotation
- Moving the project to a custom Odoo implementation
Ever Digital will not knowingly perform significant additional chargeable work without informing the customer.
Additional work may begin only after commercial terms are agreed.
9. Custom Development Is Not Included
Unless explicitly stated on the product page or quotation, Odoo Starter packages do not include custom software development.
Examples of custom development include:
- Custom Odoo modules
- Changes to Odoo source code
- Custom integrations
- Custom APIs
- Highly specialized workflows
- Bespoke reports
- Bespoke printed documents
- Custom dashboards
- Custom mobile applications
- Non-standard automation
- Major interface modifications
Such work may be quoted separately.
10. Odoo Licenses Are Separate
The Odoo Starter package price is an implementation-service fee unless expressly stated otherwise.
Odoo Enterprise user licenses, subscriptions, and other Odoo charges are not included unless specifically shown on the product page, order, or quotation.
Customers are responsible for maintaining valid Odoo licenses required for their use of the software.
Odoo licensing is subject to the applicable terms of Odoo S.A.
11. Hosting Is Separate
Hosting is not included in an Odoo Starter implementation package unless expressly stated.
Possible hosting arrangements may include:
- Odoo.sh
- Ever Digital-managed hosting
- Customer-managed infrastructure
- Other agreed hosting providers
Hosting charges and terms may be governed by a separate subscription, quotation, or service agreement.
12. Third-Party Services
Some implementations may require or benefit from third-party services such as:
- Payment gateways
- Shipping providers
- SMS services
- WhatsApp providers
- Email services
- Cloud services
- APIs
- Hardware
- Biometric devices
- Barcode devices
- External integrations
Third-party services are governed by their own terms, pricing, availability, and technical limitations.
Ever Digital is not responsible for changes, outages, restrictions, price increases, discontinued features, or other actions taken by third-party providers.
13. Data Migration
Basic master-data import assistance may be included within the package’s available implementation hours.
Examples may include appropriately prepared:
- Customers
- Suppliers
- Products
- Basic opening data
- Other agreed master records
Advanced migration is not included unless expressly agreed.
Advanced migration may include:
- Historical transactions
- Complex accounting history
- Legacy ERP databases
- Inconsistent datasets
- Large volumes of records
- Data transformation
- Duplicate removal
- Data cleansing
- Custom migration scripts
Additional migration requirements may be quoted separately.
14. Customer Responsibility for Data
The customer is responsible for:
- Accuracy of data supplied to Ever Digital
- Completeness of data
- Obtaining necessary permissions to use the data
- Ensuring information is lawfully provided
- Reviewing imported information
- Maintaining appropriate source-data backups
Ever Digital is not responsible for errors caused by inaccurate, incomplete, duplicated, corrupted, or incorrectly structured customer data.
15. Customer Responsibilities
Successful implementation requires active customer participation.
The customer agrees to provide reasonably requested:
- Business requirements
- Decisions
- Approvals
- User information
- Product information
- Accounting information
- Access credentials where required
- Data files
- Testing resources
- UAT feedback
- Availability for meetings and training
The customer is responsible for appointing an appropriate contact person who can make or coordinate project decisions.
16. Delays Caused by the Customer
Project timelines depend on timely customer cooperation.
Ever Digital is not responsible for delays caused by:
- Late customer responses
- Missing data
- Missing approvals
- Unavailable key users
- Delayed testing
- Repeated requirement changes
- Failure to provide access
- Delayed third-party services
Where a customer becomes inactive, Ever Digital may pause the project.
Rescheduling or restarting a substantially delayed project may require a revised timeline and, where additional work is required, additional charges.
17. Project Timeline
Any timeline provided by Ever Digital is an estimate unless a specific binding delivery deadline is expressly agreed in writing.
Actual implementation duration can depend on:
- Customer responsiveness
- Package complexity
- Number of Setup Packs
- Data quality
- Training availability
- Testing
- Third-party dependencies
- Requirement changes
Ever Digital will make reasonable efforts to complete implementation efficiently but does not guarantee a specific go-live date unless expressly agreed.
18. Implementation Start
An implementation is considered started when Ever Digital performs project-related work following the order, including activities such as:
- Requirements review
- Customer communication relating to implementation
- Environment setup
- Configuration
- Data preparation
- Implementation planning
- Training preparation
The implementation start date may be relevant to cancellation and refund eligibility.
19. Training
Training included within a package is intended to help customer users understand the implemented standard workflows.
Training time counts toward the package’s implementation-hour allowance unless otherwise stated.
Customers are responsible for ensuring appropriate employees attend scheduled training.
Repeated training sessions, training caused by customer staff turnover, or additional training beyond the package scope may be charged separately.
20. User Acceptance Testing
The customer is responsible for reviewing and testing the configured solution before go-live.
Ever Digital may assist with User Acceptance Testing (“UAT”), but the customer remains responsible for confirming that:
- Required standard workflows operate as expected
- Users understand the process
- Relevant data has been reviewed
- The configuration is suitable for operational use
Issues identified during UAT should be reported promptly.
21. Go-Live
Go-live means the point at which the customer begins operational use of the implemented Odoo environment.
Ever Digital may provide reasonable go-live assistance within the package’s remaining implementation hours.
The customer is responsible for:
- Final operational approval
- Employee readiness
- Data verification
- Appropriate backups
- Internal procedures
- Required licenses and infrastructure
22. Changes After Scope Confirmation
Customers may request changes after the implementation scope has been confirmed.
Ever Digital will determine whether the requested change:
- Fits within the existing package
- Can be completed within the remaining hours
- Requires a package upgrade
- Requires additional implementation hours
- Requires custom development
- Requires a separate quotation
Changes may affect project timelines.
23. Payments
Customers must pay the amount shown at checkout or otherwise agreed before the applicable work or service milestone begins.
Where a package is sold with full payment upfront, full payment is required according to checkout terms.
Where installment, deposit, or milestone payment options are offered, the applicable payment schedule displayed at checkout, on the quotation, or on the invoice applies.
Ever Digital may pause services while an amount is overdue.
24. Taxes, Bank Charges and Currency Conversion
Prices may be shown in USD or another supported currency.
Unless otherwise stated, customers are responsible for any applicable:
- Bank fees
- International transfer charges
- Foreign-exchange costs
- Card-provider fees
- Customer-country taxes
- Duties or similar charges
Where Ever Digital is legally required to collect applicable taxes, those taxes may be added or included as required.
25. Failed or Reversed Payments
If a payment is:
- Declined
- Reversed
- Charged back
- Cancelled
- Identified as unauthorized
Ever Digital may suspend or cancel the related order or service until payment is resolved.
26. Refunds and Cancellations
Refunds and cancellations are governed by our separate Refund, Cancellation & Returns Policy.
By purchasing a product or service, you acknowledge that implementation work may begin following order confirmation and that work already performed may affect refund eligibility.
Where there is any conflict regarding refunds, the applicable Refund & Cancellation Policy and mandatory applicable law will apply.
27. Chargebacks
Customers should contact Ever Digital before initiating a payment chargeback so that we have an opportunity to investigate and resolve the issue.
If a chargeback is initiated, Ever Digital may provide relevant evidence to the payment provider, including:
- Order information
- Customer communications
- Selected package
- Implementation records
- Training records
- Work logs
- Delivery evidence
- UAT or project records
as reasonably necessary to respond to the dispute.
28. Intellectual Property
Odoo and related Odoo trademarks, software, and intellectual property belong to their respective owners.
Purchasing implementation services from Ever Digital does not transfer ownership of Odoo software or third-party intellectual property to the customer.
Ever Digital retains ownership of its pre-existing:
- Tools
- Frameworks
- Templates
- Reusable code
- Methodologies
- Documentation formats
- General know-how
- Internal implementation materials
unless otherwise expressly agreed.
29. Customer Data Ownership
The customer retains ownership of its business data.
Ever Digital does not claim ownership of customer records, transaction information, customer lists, employee data, or other customer-owned operational data.
Our handling of personal information is also governed by our Privacy Policy.
30. Custom Development Ownership
Where custom development is separately purchased, ownership and licensing terms may be defined in the applicable quotation, contract, or statement of work.
Unless expressly agreed otherwise, Ever Digital may retain ownership of reusable components, general-purpose frameworks, libraries, methods, and pre-existing intellectual property incorporated into a custom solution.
31. Software Updates
Odoo, WordPress, WooCommerce, operating systems, browsers, mobile platforms, APIs, and third-party software may change over time.
Such updates may alter:
- Features
- Interfaces
- Compatibility
- Performance
- Integrations
- Technical requirements
Work required because of future third-party changes is not automatically included in the original implementation package.
32. Support After Implementation
Ongoing support is not automatically included indefinitely with an implementation package.
Any support included on the relevant product page will apply according to the stated scope.
After any included support period or implementation hours are exhausted, continued support may require:
- A support package
- Additional service hours
- A maintenance agreement
- A separate quotation
33. No Guarantee of Business Results
Ever Digital provides software implementation and technology services.
We do not guarantee that use of Odoo or any other solution will produce a particular:
- Revenue level
- Profit level
- Cost reduction
- Productivity result
- Business growth rate
- Sales result
- Regulatory outcome
Business results depend on many factors beyond the technology itself, including customer processes, employees, management, adoption, data quality, market conditions, and execution.
34. Customer Business Decisions
Customers remain responsible for decisions made using their ERP, accounting, SaaS, reporting, automation, or other systems.
Ever Digital does not provide legal, tax, audit, or regulated financial advice unless expressly agreed and appropriately qualified to do so.
Customers should obtain independent professional advice where required.
35. Accounting Configuration
Where Ever Digital assists with accounting configuration, the customer remains responsible for confirming:
- Chart of accounts
- Tax configuration
- Opening balances
- Accounting policies
- Statutory requirements
- Financial reports
with its accountant, auditor, or other qualified professional where necessary.
36. Security
Ever Digital uses reasonable technical and organizational measures in delivering its services.
However, no software, network, hosting environment, website, or internet-connected system can be guaranteed to be completely secure.
Customers are responsible for appropriately managing:
- User accounts
- Passwords
- Access rights
- Administrator access
- Employee departures
- Internal security procedures
- Local devices and networks
37. Backups
Customers are responsible for ensuring appropriate backup arrangements exist for systems and data under their control.
Where Ever Digital provides managed hosting, backup arrangements may be governed by the applicable hosting terms.
Before major data imports or system changes, customers should retain appropriate copies of important source data.
38. Availability of SaaS and Online Services
Where Ever Digital provides SaaS or hosted products, service availability may occasionally be affected by:
- Maintenance
- Updates
- Security work
- Infrastructure failures
- Internet failures
- Third-party providers
- Events outside Ever Digital’s reasonable control
Product-specific SaaS terms or service-level conditions may also apply.
39. Separate SaaS Terms
Ever Digital may offer its own SaaS products, including current and future Ever Digital software platforms.
Specific SaaS products may have additional terms relating to:
- Subscription periods
- User limits
- Data storage
- Usage limits
- Renewals
- Cancellation
- Support
- Service availability
Where product-specific terms exist, they supplement these general Terms.
40. Warranty and Correction of Issues
Ever Digital will make reasonable efforts to deliver services according to the agreed scope.
If a customer believes an agreed configuration has been incorrectly implemented, the customer should notify Ever Digital promptly and provide sufficient details for investigation.
Where a verified issue results directly from Ever Digital’s implementation work, we may correct it within a reasonable period.
This does not apply to issues caused by:
- Customer changes
- Third-party changes
- Unsupported modifications
- Incorrect customer data
- External integrations
- Infrastructure outside our control
- Subsequent software updates
41. Limitation of Liability
To the maximum extent permitted by applicable law, Ever Digital will not be liable for indirect, incidental, special, punitive, or consequential loss arising from the use or inability to use our services.
This may include losses relating to:
- Lost profits
- Lost opportunities
- Lost business
- Business interruption
- Loss of expected savings
- Indirect data loss
To the maximum extent permitted by applicable law, Ever Digital’s aggregate liability relating to a particular purchased service will generally not exceed the amount paid to Ever Digital for that specific service giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded.
42. Force Majeure
Ever Digital is not responsible for failure or delay caused by events outside our reasonable control, including:
- Natural disasters
- War
- Civil disturbance
- Government restrictions
- Internet outages
- Power failures
- Cyberattacks
- Telecommunications failures
- Cloud-provider outages
- Third-party platform failures
- Epidemics or emergencies
- Other force majeure events
Affected obligations may be postponed for the duration of the event.
43. International Customers
Ever Digital accepts customers from multiple countries.
Customers are responsible for confirming that use of the purchased software or service is lawful and suitable within their jurisdiction.
Local laws, taxation, accounting requirements, privacy rules, and regulatory obligations may differ by country.
Ever Digital’s standard implementation does not automatically include jurisdiction-specific legal or regulatory consultancy unless expressly agreed.
44. Communications
Customers agree that Ever Digital may communicate with them using the contact information provided during checkout or project onboarding.
This may include:
- Telephone
- Online meetings
- Customer portals
- Other agreed communication channels
Transactional and project communications may be sent where necessary to deliver the purchased service.
45. Electronic Agreements
Orders, online acceptances, emails, electronic approvals, digital signatures, and similar electronic communications may be used to establish commercial agreements between the customer and Ever Digital.
46. Website Information
We make reasonable efforts to keep product descriptions, prices, features, and website information accurate.
However, typographical, technical, or pricing errors may occasionally occur.
If an obvious error affects an order, Ever Digital may contact the customer to:
- Correct the order
- Offer the correct terms
- Cancel and refund the affected order where appropriate
47. Product Changes
Ever Digital may update or discontinue packages, Setup Packs, features, prices, or commercial offerings.
Changes do not normally affect an already accepted order unless:
- The customer agrees
- The change is required by law
- A third-party dependency makes the original service impossible
- An equivalent or better arrangement is agreed
48. Refusal or Cancellation of Orders
Ever Digital may refuse or cancel an order where reasonably necessary, including where:
- Payment cannot be verified
- Fraud is suspected
- The requested service is unlawful
- The customer’s requirements clearly cannot fit the purchased package
- A technical or pricing error occurred
- Delivery would create an unacceptable security risk
- The customer materially violates these Terms
Where appropriate, amounts relating to undelivered services will be handled according to our Refund & Cancellation Policy.
49. Suspension of Services
Ever Digital may temporarily suspend services where reasonably necessary because of:
- Overdue payment
- Security threats
- Abuse
- Fraud
- Illegal activity
- Material breach of these Terms
- Failure to provide critical required information
We will normally attempt to notify the customer where practical.
50. Termination
Either party may terminate an ongoing service relationship according to the applicable contract, subscription terms, quotation, or Refund & Cancellation Policy.
Termination does not remove obligations that arose before termination, including:
- Outstanding payments
- Intellectual-property obligations
- Confidentiality obligations
- Payment for completed work
51. Confidentiality
During implementation, either party may receive confidential business or technical information from the other.
Each party agrees to use reasonable care to protect confidential information and not disclose it unnecessarily to third parties.
Confidential information does not include information that:
- Is already public
- Becomes public without breach
- Was already lawfully known
- Is independently developed
- Must be disclosed by law
Ever Digital may disclose necessary information to employees, contractors, or service providers involved in delivering the customer’s service, subject to appropriate confidentiality obligations.
52. Privacy
Personal information is processed according to our Privacy Policy.
By using our website or purchasing services, customers acknowledge the data practices described in that policy.
53. Governing Law
These Terms are governed by the applicable laws of the Republic of Iraq and the Kurdistan Region of Iraq, subject to any mandatory rights that may apply to international consumers under applicable law.
54. Dispute Resolution and Jurisdiction
If a dispute arises, both parties should first attempt to resolve it in good faith through direct communication.
If the dispute cannot be resolved amicably, and unless another written agreement provides otherwise, disputes relating to Ever Digital services shall be subject to the competent courts of Erbil, Kurdistan Region, Iraq, to the extent permitted by applicable law.
55. Mandatory Consumer Rights
Nothing in these Terms is intended to remove any mandatory rights available to customers under applicable consumer-protection law.
Where a provision of these Terms conflicts with a right that cannot legally be waived, the mandatory legal requirement will prevail.
56. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
57. No Waiver
If Ever Digital does not immediately enforce a provision of these Terms, that does not mean we permanently waive the right to enforce it later.
58. Entire Agreement
For online purchases, these Terms together with the applicable:
- Product description
- Order
- Privacy Policy
- Refund & Cancellation Policy
- Any written project-specific terms
form the agreement governing the purchased service.
For custom projects, a signed quotation, contract, statement of work, or other project-specific agreement may contain additional or different terms.
Where expressly agreed project-specific terms conflict with these general Terms, the project-specific terms will normally take precedence for that project.
59. Changes to These Terms
Ever Digital may update these Terms periodically to reflect changes in:
- Services
- Products
- Business practices
- Technology
- Legal requirements
The latest version will be published on this page with the revised effective date.
Changes will not normally alter an already completed purchase retroactively unless required by law or agreed with the customer.
